Terms of Service
Last updated: October 25, 2026
1. Agreement and acceptance
These Terms of Service (the “Terms”) govern your use of the website at https://sortielabs.net (the “Website”) and describe how SORTIE LABS LLC (“SORTIE,” “we,” “us”) offers its services. By using the Website you agree to these Terms. If you do not agree, please do not use the Website.
Services we provide to a business client are governed by a separate written agreement, as described in Section 4. If these Terms conflict with a signed written agreement, the written agreement controls for that engagement.
2. About SORTIE LABS LLC
SORTIE LABS LLC is a Missouri limited liability company, doing business under the brand SORTIE. We are an independent digital studio. We design and build mobile apps and web software for business clients, primarily in North America, and we are preparing to publish our own apps on the Apple App Store.
3. Using the website
- You must be at least 18 years old, or the age of majority where you live, to enter into an agreement with us. The Website is not directed at children under 13.
- Use the Website only for lawful purposes. Do not attempt to gain unauthorized access to it, interfere with its operation, send automated or abusive requests, scrape it at scale, or submit false or another person’s information to the waitlist.
- The Website content, the SORTIE name and wordmark, the page design and the original illustrations are owned by or licensed to SORTIE LABS LLC. You may view the Website and share links to it. You may not copy or reuse our content or marks for other purposes without our written permission.
- The app screens shown on the Website are illustrative concepts. They are not released products.
4. Agency services and written agreements
We provide design, software development and related services to business clients. Each engagement is defined by a written statement of work, proposal or order form signed or accepted by both parties (a “Written Agreement”). The Written Agreement sets out the scope, deliverables, timeline, fees and any acceptance process.
The descriptions, plans and starting prices on this Website are for general information. They are not an offer capable of acceptance and do not create a contract. No work begins and no fees are owed until a Written Agreement is in place. The Website does not take payments.
5. Estimates, fees, invoicing and taxes
- “Starting at” prices are estimates in US dollars. Final pricing depends on scope and is provided as a written quote before any work begins.
- Fees are invoiced and payable as set out in the Written Agreement. Unless the Written Agreement says otherwise, invoices are due within 15 days of the invoice date.
- Late payments may be subject to a late fee or interest as stated in the Written Agreement, to the extent permitted by law. We may pause work on an engagement while an undisputed invoice is overdue.
- Fees do not include applicable sales, use, value-added or similar taxes, which are the client’s responsibility unless the law requires us to pay them. Third-party costs such as hosting, domain names, software licenses and App Store developer accounts are separate unless the Written Agreement says otherwise.
Refunds and cancellations are covered in our Refund Policy.
6. Client responsibilities
To deliver on time, we need clients to provide accurate information, content and materials; give timely feedback and approvals; and confirm that they own, or have the right to use, everything they supply to us (including text, images, brand assets, data and third-party accounts). Delays in client input may move delivery dates and may affect fees as described in the Written Agreement.
7. Intellectual property
- Client deliverables. Ownership of deliverables is set by the Written Agreement. Unless it says otherwise, the custom deliverables created for a client are assigned or licensed to the client when all fees for them have been paid in full.
- Third-party and open-source components. These keep their own licenses. The client’s rights in them are governed by those licenses, not by these Terms.
- SORTIE tools and know-how. We keep all rights in our pre-existing code, libraries, templates, tools, processes and general know-how, including improvements to them that are not specific to a client’s confidential information. Where such material is included in a deliverable, the client receives a non-exclusive license to use it as part of that deliverable.
- Portfolio. We will not publish or name a client’s project in our portfolio or marketing without the client’s written permission.
- Confidentiality. We keep non-public information a client shares with us confidential and use it only to perform the engagement, unless the law requires disclosure.
8. Prohibited projects and uses
We only accept projects that are lawful and that we are able to support. We do not build, host, promote or work on:
- anything that is unlawful, or that facilitates unlawful activity;
- gambling or betting products;
- adult content or services;
- weapons or weapon-related products;
- regulated financial services or regulated health services that we are not licensed or equipped to support; or
- anything that infringes another party’s rights, is deceptive or fraudulent, or is designed to harm, harass or defraud people.
We may decline any project at our discretion, and we may suspend or end an engagement immediately if we reasonably believe a project or its use breaches this Section or applicable law. You may not use the Website or our services to violate any law.
9. SORTIE-published apps
When we publish our own apps, each app will have its own in-app terms and privacy information on its App Store listing. Apple’s standard licensed application end user license agreement applies unless a separate agreement is provided. Any subscription is optional and auto-renewing, is purchased through your Apple Account, and is billed, managed and refunded by Apple. Apple is not a party to these Terms and is not responsible for our apps or services. See our Refund Policy for how to manage a subscription or request a refund.
10. Waitlist and communications
If you join the waitlist, you ask us to contact you by email with launch updates, early access to SORTIE-published apps and studio availability. Joining is free, optional and does not create a contract or reserve any product, price or place. You can unsubscribe at any time by emailing [email protected]. Our Privacy Policy explains how we handle your information.
11. Third-party services and links
The Website may link to third-party sites, such as Apple’s support pages, and loads a styling script from a third-party content delivery network, as described in the Privacy Policy. We do not control third-party sites or services and are not responsible for them. Apple, the App Store and related marks are trademarks of Apple Inc. SORTIE LABS LLC is an independent company and is not affiliated with or endorsed by Apple Inc.
12. Disclaimers
The Website is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Our services are provided with reasonable skill and care and as described in the Written Agreement.
Results depend on many factors outside our control, such as market conditions, user behavior, platform rules and third-party services. We do not make any guarantee of any outcome or result, including app approval by a platform operator, number of users or downloads, search visibility or business performance. We do not promise uninterrupted or error-free operation of the Website or of any software.
13. Limitation of liability
To the fullest extent permitted by law, SORTIE LABS LLC and its members, managers, contractors and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or loss of goodwill, arising out of or related to the Website or our services. Our total liability for any claim relating to a particular service is limited to the fees you paid us for that service in the 12 months before the event giving rise to the claim. For use of the Website alone, our total liability is limited to US$100. Some jurisdictions do not allow certain limitations, so some of these limits may not apply to you.
14. Indemnification
You will defend and indemnify SORTIE LABS LLC against third-party claims, and related losses and reasonable costs, arising from content or materials you provide to us, your breach of these Terms or a Written Agreement, or your violation of law or of another party’s rights, except to the extent caused by our own breach or misconduct.
15. Suspension and termination
We may suspend or end your access to the Website at any time if you breach these Terms or misuse the Website. Either party may end an engagement as described in the Written Agreement. Sections that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, limitation of liability, indemnification and governing law, will survive.
16. Governing law and venue
These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-law rules. Before starting a formal proceeding, each party agrees to try in good faith to resolve the dispute informally by written notice to the other for at least 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Missouri, and each party consents to their personal jurisdiction and venue. A Written Agreement may set different dispute terms for that engagement.
17. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above shows the current version. Changes apply from the date they are posted and do not change the terms of an existing Written Agreement. If you keep using the Website after a change, you accept the updated Terms.
18. General
These Terms and any Written Agreement are the entire agreement between you and us on their subject matter. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. We may give notices to you by email or by posting on the Website.
